Theo quy định của pháp luật, doanh nghiệp hoặc cá nhân muốn rót vốn làm chủ đầu tư dự án xây dựng nhà ở thương mại thì phải thỏa mãn đủ 04 điều kiện như sau:

Điều kiện 01: Bắt buộc phải thành lập và hoạt động theo mô hình doanh nghiệp, hợp tác xã có chức năng kinh doanh BĐS theo quy định của pháp luật.
Điều kiện 02: Doanh nghiệp đầu tư dự án phải có mức vốn pháp định theo quy định của Luật kinh doanh BĐS. Hiện nay, mức vốn pháp định áp dụng với doanh nghiệp hoạt động trong lĩnh vực kinh doanh BĐS được quy định là từ mức 20 tỷ trở lên (theo Luật kinh doanh BĐS và các văn bản hướng dẫn thi hành). Doanh nghiệp bất động sản phải tự chịu trách nhiệm về tính chính xác, trung thực về nguồn vốn pháp định này mà không cần phải thực hiện ký quỹ ở ngân hàng.
Điều kiện 03: Doanh nghiệp phải có chức năng kinh doanh bất động động sản, tức là có đăng ký mã nghề kinh doanh BĐS và đáp ứng đủ các điều kiện để được hoạt động kinh doanh BĐS.
Điều kiện 04: Doanh nghiệp đầu tư nhà ở thương mại cần phải có nguồn vốn ký quỹ ở ngân hàng để đảm bảo khả năng thực hiện xây dựng dự án đó (theo quy định của pháp luật đầu tư).
